Terms of Service

1. Acceptance of Terms

By accessing or using UIPing ("Service"), operated by GIGDATA LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Description of Service

UIPing is a web-based monitoring service that tracks changes on publicly accessible product pages, primarily on ui.com and related Ubiquiti storefronts. The Service provides notifications when monitored pages change, including but not limited to stock availability, pricing, and page content. The Service is provided on an "as-is" and "as-available" basis.

3. Account Registration

To use the Service, you must create an account with a valid email address and verify your email. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information during registration and to update your information as necessary. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Payment

The Service offers both free and paid subscription tiers. Paid subscriptions are billed on a monthly recurring basis through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. Subscription fees are non-refundable as described in our Refund Policy. We reserve the right to change pricing at any time, with notice provided to existing subscribers before changes take effect on their next billing cycle.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Resell, redistribute, or sublicense your access to the Service without our written consent
  • Use the Service to monitor pages you are not authorized to access
  • Circumvent any rate limits, access controls, or technical restrictions of the Service
  • Use the Service in any manner that could damage, disable, or impair the Service

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, software, and design — are the exclusive property of GIGDATA LLC and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY MONITORING DATA OR NOTIFICATIONS. THE SERVICE MONITORS PUBLICLY AVAILABLE WEB PAGES AND WE ARE NOT RESPONSIBLE FOR THE CONTENT, AVAILABILITY, OR ACCURACY OF THOSE PAGES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GIGDATA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless GIGDATA LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may cancel your account at any time through your account settings or by contacting us at support@uiping.com. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and GIGDATA LLC regarding the Service and supersede all prior agreements and understandings.
